Regarding changes of the articles of associations there will be held a unitholders’ meeting.
We hereby give notice of the unitholder meeting in connection with the amendments to the articles of association of ODIN Norden. One of the amendments to the articles of association is the introduction of unit classes for the fund. This allows us to vary the management fees charged for the unit classes on the basis of the amount invested.
ODIN Fund Management wishes to condense its fund portfolio through the introduction of unit classes, and also by merging ODIN Norden and ODIN Norden II. ODIN Norden II will be merged with ODIN Norden.
You will find a notice about this further below.
Time: 18 May 2016 at 14:00
Place: ODIN Forvaltning, Fjordalleen 16, Oslo, Norway
1) Election of the meeting chair and two unitholders who will sign the minutes
2) The chief executive officer, Rune Selmar, will give a presentation of the merger and amendments to the articles of association
3) Questions submitted by unitholders
Each unit entitles the holder to one vote at the unitholders’ meeting. The units you held as of 20 April 2016 will determine the number of units for which you are entitled to vote. If you are unable to attend the unitholders’ meeting, you may submit an advance vote or authorise another party to vote on your behalf.
Unitholders are entitled to discuss questions that are submitted to the board of ODIN Fund Management in writing no later than one week before the meeting is held. With the exception of the proposed amendments to the articles of association, the unitholders’ meeting cannot make decisions that are binding in relation to the fund or the management company.
For practical reasons, we ask that you register for the unitholders’ meeting by no later than 11 May 2016.
