The unitholder meeting was held in connection with the planned mergers between ODIN Norden and ODIN Norden II, ODIN Sverige and ODIN Sverige II, and ODIN Global and ODIN Global II. Mergers are adopted if a majority of at least 75 per cent of the votes cast in the individual funds is obtained.
In addition, amendments have been proposed to the articles of association of ODIN Norden, ODIN Sverige, ODIN Global and ODIN Emerging Markets. Amendments are adopted if a majority of at least 75 per cent of the votes cast is obtained.
The main points in the proposed amendments:
ODIN Norden: Bring the articles of association into compliance with the new Securities Funds Act and the Norwegian Fund and Asset Management Association’s recommended standard articles; create different unit classes in the fund; allow lending of financial instruments; and reduce the maximum subscription and redemption fees that can be charged in connection with subscription or redemption.
ODIN Global: Reduce the maximum subscription and redemption fees that can be charged in connection with subscription or redemption; and change the date for the calculation of unitholders’ total subscriptions and redemptions in connection with any change of unit class.
ODIN Sverige: Reduce the maximum subscription and redemption fees that can be charged in connection with subscription or redemption.
ODIN Emerging Markets: Bring the articles of association into compliance with the new Securities Funds Act and the Norwegian Fund and Asset Management Association’s recommended standard articles; create different unit classes in the fund; allow lending out of financial instruments; and reduce the maximum subscription and redemption fees that can be charged in connection with subscription or redemption.
The Financial Supervisory Authority of Norway must consent to the amendments to the articles of association after the unitholders have voted in favour of them. Therefore, the amendments to the articles of association shall not enter into effect before they have been approved by the Financial Supervisory Authority of Norway. ODIN Fund Management envisages that the proposed amendments will enter into effect on 20 June 2016. However, the actual date will depend on how long it takes the Financial Supervisory Authority of Norway to complete its procedures.
