On Thursday 22 October a unitholder meeting was held in connection with the planned mergers and amendments to the statutes in some of ODIN’s funds.
The unitholder meeting was held in connection with the planned mergers between ODIN Norge/ODIN Norge II, ODIN Finland/ODIN Finland II, ODIN Europa/ODIN Europa II, ODIN Offshore/ODIN Maritim and ODIN Eiendom/ODIN Eiendom I.
Additionally, amendments to the statutes of ODIN Norge, ODIN Finland, ODIN Europa, ODIN Offshore, ODIN Eiendom, ODIN Sverige and ODIN Kreditt have also been proposed.
Mergers and amendments are adopted if a majority of at least 75 per cent of the votes cast is obtained.
Essentially, the amendments to the statutes concern changing them to the new, recommended statutes following the introduction of the new Securities Funds Act. At the same time, share classes are being introduced in the funds so that the extent of the management fee will subsequently be dependent on the sum invested. In addition, the statutes are being changed so that in future it will be possible for the funds to lend financial instruments with the board’s approval. All income from such lending shall accrue to the fund.
The Financial Supervisory Authority of Norway must consent to the amendments to the statues after the unitholders have voted in favour of them. Therefore, the amendments shall not enter into effect before they have been approved by the Financial Supervisory Authority of Norway. ODIN Forvaltning envisages that the proposed amendments enter into effect on 30 November 2015. However, the actual date will depend on how long it takes the Financial Supervisory Authority of Norway to complete its procedures.
