Amendments to the Articles of Association in Several Odin Funds

The unit holder meeting was held in connection with proposed amendments to the articles of association in ODIN Norden, ODIN Norge, ODIN Sverige, ODIN Global, ODIN Emerging Markets, ODIN USA, ODIN Bærekraft og ODIN Eiendom, ODIN Kreditt, ODIN Norsk Obligasjon, ODIN Europeisk Obligasjon, and ODIN Likviditet.

Amendments to the articles of association are adopted if a majority of at least 75 percent of the votes cast is achieved.

The purpose of the amendments is to introduce swing pricing in the funds. Swing pricing is a mechanism that ensures that the unit holder who triggers the need for the purchase and sale of securities in the fund, for example through larger subscriptions or redemptions, is also the one who bears the transaction costs. Odin introduces swing pricing to ensure that the fund's existing unit holders are not burdened with the costs resulting from subscriptions and redemptions made by other unit holders.

The Financial Supervisory Authority must consent to changes to the articles of association after the unit holders have voted for them. The amendments to the articles of association will therefore not come into force until they have been approved by the Financial Supervisory Authority. Odin Forvaltning aims for the proposed changes to come into force by August 2024. However, the exact timing will depend on the processing time of Finanstilsynet.

• ODIN Bærekraft: At the unit holder meeting, votes were cast for a total value of NOK 930,267,308. The amendments to the articles of association were adopted by the unit holders with 99.96 percent of the votes.
• ODIN Eiendom: At the unit holder meeting, votes were cast for a total value of NOK 49,047,325. The amendments to the articles of association were adopted by the unit holders with 85.35 percent of the votes.
• ODIN Emerging Markets: At the unit holder meeting, votes were cast for a total value of NOK 1,700,240,975. The amendments to the articles of association were adopted by the unit holders with 99.95 percent of the votes.
• ODIN Global: At the unit holder meeting, votes were cast for a total value of NOK 3,400,281,060. The amendments to the articles of association were adopted by the unit holders with 99.02 percent of the votes.
• ODIN Norden: At the unit holder meeting, votes were cast for a total value of NOK 3,430,965,956. The amendments to the articles of association were adopted by the unit holders with 98.86 percent of the votes.
• ODIN Norge: At the unit holder meeting, votes were cast for a total value of NOK 2,274,301,844. The amendments to the articles of association were adopted by the unit holders with 99.04 percent of the votes.
• ODIN Sverige: At the unit holder meeting, votes were cast for a total value of NOK 2,202,057,840. The amendments to the articles of association were adopted by the unit holders with 99.72 percent of the votes.
• ODIN USA: At the unit holder meeting, votes were cast for a total value of NOK 5,073,391,293. The amendments to the articles of association were adopted by the unit holders with 99.97 percent of the votes.
